Terms of Service

These terms govern your use of Virgent AI's website at virgent.ai, including demos, chat, forms, and paid checkout on this site. By using the site you agree to them. If you do not agree, do not use the site.

Paid client work (implementation, workshops delivered under a statement of work, retainers) is governed by a mutually signed master agreement and statement of work. Those documents control if they conflict with these terms.

The site

Content is for general information about our services. It is provided as-is, without warranty that it is complete, current, or fit for a particular purpose. We may change or take down pages at any time.

Acceptable use

You may not:

• Break the law, harass anyone, or submit personal data about other people without authority.
• Probe, overload, scrape behind logins, or bypass security, rate limits, or honeypots.
• Upload malware or abuse forms, chat, or demos to send spam.
• Paste secrets, protected health information, or confidential third-party data into public demos or chat.
• Pretend the site agent is a human or use output as if it were a signed professional opinion.
• Copy the site to compete with us or to train a public model, beyond ordinary browser caching and search indexing.

We may block IPs, sessions, or emails that look abusive. That is described further on our Security page.

AI chat and demos

Katie and the interactive demos are AI systems. They can be wrong. Output is not legal, medical, financial, tax, or engineering advice and does not create a client relationship. You are responsible for how you use output. We may store conversations and demo inputs as described in the Privacy Policy.

Accounts

The public site does not offer consumer accounts. Admin access is limited to our staff.

Payments

Some offerings (hourly consultation, recurring hourly, workshops such as Agent Sprint or a standalone Strong Start series) can be paid through Stripe Checkout on this site. Prices are shown at checkout in USD unless stated otherwise. Stripe processes cards. We do not store full card numbers.

A charge authorizes us to collect that amount for the selected offering. Recurring plans renew until you cancel. Cancel through the link in your receipt, by emailing us before the next billing date, or through Stripe customer portal if we provided one. Cancellation stops future renewals. It does not refund the current period unless the refund rules below say otherwise.

Cancellation and refunds

• Free intro calls: no charge, so no refund.
• Hourly consultation: full refund if you cancel at least 24 hours before the booked start time. After that, or for a completed session, the fee is not refundable.
• Recurring hourly: cancel anytime before the next billing date. The current period is not refunded.
• Workshops and Agent Sprint: full refund if you cancel at least 7 days before the start date. Inside 7 days we will usually offer a credit valid for 90 days instead of cash, unless law requires a cash refund. After the session starts, fees are not refundable except as required by law.
• If we cancel or cannot deliver: full refund of amounts paid for the undelivered offering.

Email hello@virgent.ai to request a refund. Include the Stripe receipt or the email you used at checkout. Chargebacks without contacting us first may delay a goodwill resolution. These site checkout rules do not change refund language in a signed SOW.

Intellectual property

Site text, trademarks, logos, and design belong to Virgent AI or their owners. You may not copy or redistribute them except as allowed by law or written permission. You keep ownership of materials you submit. You grant us a limited license to use those materials to respond, to operate the site, and to evaluate an application or inquiry.

Privacy

Our Privacy Policy and Cookie Policy explain how we handle personal data.

Disclaimers

To the fullest extent allowed by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement for the public website and its demos. Some jurisdictions do not allow certain disclaimers. In those places, we disclaim only to the extent allowed.

Limitation of liability

To the fullest extent allowed by law, Virgent AI and its owners, staff, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from the site, demos, chat, or a purchase made on this site, even if we were told they were possible.

Our total liability for claims arising from the public site or a purchase made on this site is limited to the greater of (a) the amount you paid us on this site for the offering at issue in the 12 months before the claim, or (b) one hundred US dollars. This cap does not limit liability that the law does not allow us to limit, including liability for death or personal injury caused by negligence where that bar is not permitted, or for fraud.

This section does not limit a separate signed client contract, which has its own liability terms.

Indemnity

You will defend and indemnify us against claims arising from your misuse of the site, your demo or chat inputs, or your violation of these terms, except to the extent we caused the harm.

Governing law

These terms are governed by the laws of the State of Maryland, without regard to conflict-of-law rules. You and we consent to exclusive venue in the state courts of Anne Arundel County, Maryland, or the US District Court for the District of Maryland, except that we may seek injunctive relief in any court for abuse of the site or misuse of intellectual property.

If you are a consumer in a place that forbids this venue clause, that local consumer law controls for you.

Changes

We may update these terms by posting a new version with a new date. Continued use after the date means you accept the update. For a checkout you already completed, the terms in effect on the purchase date apply to that purchase unless a signed contract says otherwise.
